Shop Connect End User License Agreement

This agreement governs use of the Shop Connect software platform for managing quotes, jobs and production.
1. Agreement and eligibility
By accessing Shop Connect, you agree to this agreement for yourself or, if you represent a shop, on its behalf. You must be authorized to do so and use the service for lawful business purposes. If you do not agree, do not use it. These platform terms are separate from each shop's customer service terms.
2. Accounts and authorized users
Shops are responsible for their authorized users, assigning appropriate access and protecting account credentials. Do not share credentials or access another person's account. Report suspected unauthorized use through the support information provided in the service.
3. Subscriptions and access
Features and access depend on the shop's applicable subscription, enabled services and account status. Charges and payment are governed by the shop's applicable commercial terms; this agreement does not set prices. Access may be suspended for nonpayment as permitted by those terms and law.
4. Permitted use
Use Shop Connect only for authorized shop operations. Do not access another shop's data without permission, disrupt the service, attempt to bypass security, upload unlawful or malicious content, or violate others' rights. Submit only content you are entitled to share.
5. Ownership and data
Shop Connect and its licensors retain their rights to the software, design and related intellectual property. Shops and their customers retain their respective rights in information, files and other materials they provide. Shops grant Shop Connect the limited rights necessary to host, process and transmit that data to operate the service and authorized integrations.
6. Integrations and QuickBooks Online
Connecting a third-party service such as QuickBooks Online authorizes Shop Connect to exchange information needed for the requested integration, potentially including customer records, estimates, line items and accounting details. The third party's own terms and privacy practices apply. Authorized users can disconnect an integration through available settings, but that does not remove data already transferred to the third party. Third-party availability and continued compatibility are not guaranteed.
7. Confidentiality and security
Each party should protect the other's nonpublic business information with reasonable care and use it only as needed to provide or use the service, except as authorized or required by law. Shops should manage staff access and protect credentials. Shop Connect uses safeguards intended to protect service data, but no system is completely secure.
8. Backups and retention
Shop Connect may retain information and backups as reasonably needed for operations, security and legal requirements. Retention varies by data type and circumstances; backups may persist after removal from active use. Shops should keep their own copies of important records. No particular backup frequency, recovery time or permanent storage is promised here.
9. Suspension and termination
Access may be limited or suspended for misuse, security concerns, legal requirements or nonpayment. A shop may stop using the service subject to its applicable commercial terms. On termination, access may end and remaining information will be handled under the Privacy Policy and applicable agreements or law. Terms that by nature survive termination, including ownership and liability limitations, remain in effect.
10. Disclaimers and liability
To the extent allowed by law, the service is provided on an as-available basis without a guarantee of uninterrupted or error-free operation. Shops remain responsible for reviewing quotes, accounting records and business decisions. Neither party excludes liability that cannot legally be excluded. To the extent allowed by law, Shop Connect is not liable for indirect, incidental, special, consequential or lost-profit damages arising from use of the service. Further limits in any applicable written agreement with a shop also apply.
11. Governing law
This agreement is governed by California law, without regard to conflict-of-laws rules, except where applicable law requires otherwise.
12. Changes
We may update this agreement as the service changes. The updated date will appear here, and material changes may be communicated through the service or other appropriate means. Continued use after changes take effect signifies acceptance to the extent permitted by law.
